Fourth issuance of depositary receipts by STAK AAG

NL Financial Investments (NLFI) has sold a fourth tranche of depositary receipts for shares in ABN AMRO Group N.V., which amounts to 65 million depositary receipts (7%).

NLFI manages the shares in the capital of ABN AMRO Group N.V, and intends to sell these shares on behalf of the Dutch State gradually. NLFI does not offer the shares directly to investors, but instead transfers shares to STAK AAG, which issues corresponding depositary receipts for these shares. These depositary receipts are listed on the Euronext Amsterdam. The fourth tranche of depositary receipts were sold to institutional investors, by means of an accelerated book building offering.

This is the fourth time that STAK AAG acquires shares in ABN AMRO Group N.V. and issues corresponding depositary receipts. The first time was in November 2015, the second time was in November 2016 and the third tranche was in June this year. With this fourth tranche, the participation of STAK AAG in the issued share capital of ABN AMRO Group N.V. has increased from 37% to 44%. The total amount of depositary receipts that STAK AAG has issued currently amounts to 411,200,000. The participation of NLFI in ABN AMRO Group N.V. has decreased from 63% to 56%.

STAK AAG is an independent foundation set up to acquire and, in exchange, issue depositary receipts for shares in ABN AMRO Group N.V. STAK AAG secures the interests of depositary receipt holders as effectively as possible and will do everything to the best of its abilities to counter any threat to the independence, continuity or identity of ABN AMRO. In doing so, it will also take into account the interests of other stakeholders such as clients, savers, depositors, shareholder and employees of ABN AMRO, and the interests of society in general. STAK AAG is exempt from the obligation to make a public offer for all remaining shares when it has acquired 30% or more of the shares in the company.
